What you pay, and when
| To form it | $110.00, once. Delaware's own Certificate of Formation letter still says $90. That letter was last revised in 2016; the fee schedule revised August 1, 2026 says $110, and the fee schedule is the one that gets charged. |
| Annual report | Not required. Delaware LLCs file no annual report at all. The Division of Corporations says so plainly. What they pay instead is a flat annual tax — see below. |
| State tax | A flat $400 a year, due June 1 for the year before, whatever the company earned and even if it earned nothing. This is the number Delaware is famous for not mentioning — and it is $400, not the $300 almost every guide still repeats. |
| If you miss it | $200 penalty plus 1.5% interest a month on the tax and the penalty. There is no proration: the $400 is owed in full if the company existed for any part of the year. |
| Registered agent | Required, and the agent's address has to be in Delaware. If you do not live there, that means paying a commercial agent every year on top of the $400 — which is the part that makes forming in Delaware from another state cost more, not less. |
Do it yourself
You file this directly with the state. There is nobody in the middle who has to be paid to do it, and nothing on this page is a Base888 charge — the fees above are paid to Delaware.
